By-laws of the Corvallis Folklore Society

(Final draft for review by CFS membership, as approved by the CFS Board of Directors, Summer, 1998)

Article I - Name and Status

Section 1. The registered name of this organization is "Corvallis Folklore Society, Inc.", hereafter referred to as CFS. CFS shall be operated as a nonprofit corporation.

Article II - Objectives

Section 1. The objectives of the CFS shall be:

  1. To preserve, promote, and encourage the performance of traditional music, dance, arts, and other forms of folklore.
  2. To encourage and support the local folk community through education, outreach, and opportunities for participation and performance.
  3. To cooperate with other organizations, agencies, and individuals of similar interests in the community and state.

Article III - Membership

Section 1. Membership shall be available to all persons regardless of gender, race, color, religion, national origin, sexual orientation, political affiliation or belief, physical or mental handicap, age, economic or social status or citizenship.

Section 2. Conditions of membership:

  1. Membership shall be granted upon payment of annual fees, the amount of which shall be determined by the Board of Directors and reviewed yearly at the annual meeting.
  2. The duration of membership shall be for a period of one year.

Article IV - Society Functioning

Section 1. The fiscal year shall be from February 1 to January 31, inclusive.

Section 2. Voting

  1. All members are entitled to cast one vote in any decision-making process at all CFS meetings, except for issues mentioned within these By-laws that are to be decided upon by Board members or Officers only.
  2. All issues shall be decided by vote of a simple majority of those present unless a larger number is required by these By-laws or by any other law.

Section 3. Annual Meetings

  1. The annual meetings, which all members are encouraged to attend, shall be held usually in May of each year, the exact time and place to be set by the Board and announced in the April newsletter.
  2. Mandatory business which shall be discussed at the annual meeting shall include:
    1. Election of Officers.
    2. Review of budget and membership fee, including a profit-loss statement from the treasurer.
    3. Amendments to By-laws.
    4. Open floor time for members' input.

Section 4. General Meetings

  1. General meetings shall be held ca. every other month or quarterly - as determined by the Board. The time and location of general meetings shall be specified in the monthly newsletter.
  2. General membership is encouraged to attend.
  3. A quorum shall consist of at least five board members.

Article V - Officers of the CFS

Section 1. Officers of the CFS shall consist of:

  1. President
  2. Vice President
  3. Treasurer
  4. Secretary

Section 2. Term of office shall be for one year.

Section 3. Officers shall be elected at the annual meeting.

  1. Only current CFS members shall be eligible to hold office.
  2. Nominations will be accepted at the general meeting(s) just prior to the annual meeting and at the Annual meeting.
  3. That person, among the nominees, who receives the most votes at the annual meeting shall be the new officer, and shall assume his or her new duties at the close of that meeting.

Section 4. Duties of Officers:

  1. The duties of the President shall be to preside at all meetings, to call emergency meetings when necessary, and to coordinate and oversee the activities of the society.
  2. The duties of the Vice President shall be to substitute for the President in her/his absence.
  3. The duties of the Secretary shall be to record minutes of the meetings of the CFS.
  4. The duties of the Treasurer shall be to receive and disperse funds as deemed necessary for CFS operations, and to maintain a financial record of all CFS transactions.

Article VI - Board of Directors

Section 1. The purpose of the board of directors is to conduct the business of the corporation.

Section 2. The board shall consist of officers of the corporation and the coordinators of the various committees.

Section 3. The term of office for board members shall be for one year.

Section 4. Vacancies among the officers of the corporation that develop prior to the expiration of a term shall be filled by appointment of the remaining board members until the next election.

Section 5. All board members are expected to attend general meetings.

Section 6. A motion for recall of board members and officers may be made upon presentation of a petition with the signatures of 25 members. Recall may be effected by a vote of two-thirds of the membership present at a general meeting.

Article VII - Committees

Section. 1. The Board shall appoint all committee coordinators. This shall be done with input from the committee and the current coordinator. Current committees include but are not limited to: Booking, Oregon Folklife Festival, Silver Falls, Best Cellar Coffee House, Dances, Membership and Newsletter.

Section 2. Committees may be formed whenever deemed necessary to deal with and find solutions to current problems.

Article VIII - Amendments and Parliamentary Authority

Section 1. These By-laws may be amended at either an annual or a general meeting by a simple majority of membership present, providing notice of the proposed amendments has been published in the previous month's newsletter.

Section 2. Robert's Rules of Order Revised shall be the authority for the proceedings in all cases where not inconsistent with the By-laws of this Society.
